When George protests, Tina tells him not to worry because officers cannot be held responsible for criminal actions so long as the actions are done as part of the officer's duties. She explains to him that only the corporation can be charged with liability in such cases. Is Tina accurate that she owes no duties to shareholders?

Answer:She is inaccurate, she does share duties to shareholder as she is an employee who has a certain contract that she signed as an employee of the company.

Explanation:In the U.S a person is liable if they commit a criminal act knowingly or intentionally . An individual can only be not liable for an act that was commited accidentally.

Every employee who has signed the contract with the company they are part of that company and every criminal act commited whether for the good of the company or not , a person is liable for such criminal activities.
