Ultra Vires.

The ultra vires doctrine holds that certain legal actions attach when a corporation tries to carry out acts that are outside of its lawful powers. This doctrine can also include actions that are specifically prohibited by the corporate charter. These actions leave the corporation vulnerable to lawsuits by its employees and third parties because they are per se prohibited.
